These Terms form a legally binding agreement between you ("User") and ScoreboardMax Your use of ScoreboardMax is subject to compliance with all applicable laws and regulations.
By accepting these Terms, you certify that your use of ScoreboardMax does not and will not violate any applicable laws, regulations, or rights of any third party, and that you are solely responsible for ensuring your compliance with such laws.
"ScoreboardMax," "we," "us," or "our" refers to ScoreboardMax, its subsidiaries, affiliates, officers, directors, employees, agents, and licensors.
"User," "you," or "your" refers to any person or entity accessing or using our services.
"Content" refers to any information, data, text, images, videos, audio files, or other materials uploaded, downloaded, or otherwise appearing on or through the Service.
"Service" refers to the ScoreboardMax platform, website, and all related services, features, and functionalities.
To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep that information up to date.
ScoreboardMax may offer different types of accounts, including paid accounts, free plans, and time-limited free trial or demo accounts. Free plans are not necessarily trials—they may be fully functional but may include usage limitations or reduced feature sets compared to paid plans. We may change, limit, or discontinue free plans at any time in our sole discretion, without prior notice.
You acknowledge and agree that the features, limitations, branding (such as watermarks), advertisments, and permitted uses of free or unpaid accounts may be changed at any time without advance notice. This includes, but is not limited to, the addition or removal of functionality, the introduction of usage caps, or changes to how the Service is displayed or accessed.
We also reserve the right to terminate any free, trial, or demo account at any time, for any reason, and without prior notice. This may include, but is not limited to, suspected abuse, excessive usage beyond reasonable limits, inactivity, or violation of these Terms.
Upon termination of a free, trial, or demo account, any associated data may be permanently deleted without notice. We have no obligation to retain or provide access to such data unless required by applicable law or a separate agreement.
Users may upload content to ScoreboardMax, including but not limited to team logos, player information, photos, and other digital assets. By uploading content, you certify and warrant that:
ScoreboardMax reserves the right to remove any content that violates these Terms or is otherwise objectionable at our sole discretion, without notice.
You agree to indemnify, defend, and hold harmless ScoreboardMax, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including reasonable attorneys' fees) arising from or related to any content you upload, post, transmit, or otherwise make available through the Service, including but not limited to claims that such content infringes or misappropriates any intellectual property rights or violates applicable law.

If you violate these Terms or if ScoreboardMax determines, in its sole discretion, that your use of the Service is unreasonable, inappropriate, or otherwise unacceptable, ScoreboardMax may suspend or terminate your account at any time without prior notice.
If your account is deactivated due to such a violation and you have a paid subscription, your sole and exclusive remedy is a pro-rated refund of any unused portion of your prepaid subscription. Refunds will not be provided for any period of time during which you had access to the Service.
ScoreboardMax reserves the right to determine, in its sole discretion, whether a violation of these Terms has occurred and what actions to take in response.
You agree to indemnify, defend, and hold harmless ScoreboardMax, its affiliates, officers, directors, employees, consultants, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from:

Use of ScoreboardMax may require subscription fees. By subscribing, you authorize recurring charges to your selected payment method until cancellation. All fees are exclusive of taxes, levies, or duties imposed by taxing authorities, which remain your responsibility.
We reserve the right to change our pricing at any time. If pricing changes, we will notify you at least 14 days in advance via the email address associated with your account. If you do not agree to the new pricing, you may cancel your subscription before the new rate takes effect. Continued use of the Service after the effective date constitutes your agreement to the updated pricing.
We offer a 30-day money-back guarantee on your initial purchase. If you cancel within 30 days of your first subscription payment, you may request a full refund to your original payment method.
Except for the initial 30-day period, all subscription payments are non-refundable. No refunds will be issued for partial subscription periods or for previously used time on monthly or annual plans.
As stated in Section 4.4, if your account is terminated due to violations of these Terms, your sole remedy, if any, will be a pro-rated refund for the unused portion of your prepaid subscription, at our sole discretion.
All content, trademarks, service marks, logos, software, designs, and other materials available through the Service are owned by us or our licensors. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms.
You acknowledge and agree that you do not acquire any ownership rights in any ScoreboardMax materials by using the Service. You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have our written permission.

The ScoreboardMax service is provided "as-is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the fullest extent permitted by law, ScoreboardMax will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
ScoreboardMax expressly disclaims all liability for any claims, damages, losses, liabilities, costs and expenses of any kind or nature whatsoever. To the fullest extent permitted by applicable law, under no circumstances shall ScoreboardMax be liable for any direct, indirect, special, incidental, consequential or punitive damages arising out of or in any way connected with your use of or inability to use the Service.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.
Any dispute arising from these Terms shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved through informal negotiation, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
The arbitration shall be conducted in Utah. Each party shall be responsible for its own costs and expenses, including attorney's fees.
You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.
You agree to submit to the personal and exclusive jurisdiction of the courts located within Utah.
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 15 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
ScoreboardMax reserves the right to assign or transfer these Terms, in whole or in part, without restriction to any party that acquires all or substantially all of ScoreboardMax's assets or business, or to any affiliate or successor entity. You may not assign or transfer any rights or obligations under these Terms without ScoreboardMax's prior written consent, and any attempted assignment or transfer without such consent will be void and without effect.
These Terms constitute the entire agreement between you and ScoreboardMax regarding your use of the Service and supersede all prior and contemporaneous written or oral agreements between you and ScoreboardMax.
