1. Introduction

Welcome to ScoreboardMax. These Terms of Service ("Terms") govern your use of our platform and services. By accessing or using ScoreboardMax, you agree to comply with and be bound by these Terms. If you do not agree, you may not use our services.

These Terms form a legally binding agreement between you ("User") and ScoreboardMax Your use of ScoreboardMax is subject to compliance with all applicable laws and regulations.

By accepting these Terms, you certify that your use of ScoreboardMax does not and will not violate any applicable laws, regulations, or rights of any third party, and that you are solely responsible for ensuring your compliance with such laws.

2. Definitions

"ScoreboardMax," "we," "us," or "our" refers to ScoreboardMax, its subsidiaries, affiliates, officers, directors, employees, agents, and licensors.

"User," "you," or "your" refers to any person or entity accessing or using our services.

"Content" refers to any information, data, text, images, videos, audio files, or other materials uploaded, downloaded, or otherwise appearing on or through the Service.

"Service" refers to the ScoreboardMax platform, website, and all related services, features, and functionalities.

3. Account Registration & Free Trials

To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

ScoreboardMax may offer free trial or demo accounts to allow users to evaluate our Service. We reserve the right to terminate any free trial or demo account at any time, for any reason, and without notice. Reasons for termination may include, but are not limited to, suspected abuse, excessive usage beyond reasonable limits, violation of these Terms, or for any other reason at our sole discretion.

Upon termination of a free trial or demo account, any data associated with that account may be permanently deleted, and we have no obligation to maintain or provide you with such data.

4. Acceptable Use & Content Policy

4.1 User-Generated Content

Users may upload content to ScoreboardMax, including but not limited to team logos, player information, photos, and other digital assets. By uploading content, you certify and warrant that:

  • You own or have proper authorization and all necessary rights, licenses, consents, and permissions to distribute the content.
  • Your content does not infringe on any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights of any third party.
  • Your content does not violate the privacy, publicity, or other rights of third parties.
  • Your content complies with all applicable laws, rules, and regulations, including broadcast standards and regulations.
  • You assume all responsibility and liability for the use, display, and distribution of such content in public or private broadcasts.

ScoreboardMax reserves the right to remove any content that violates these Terms or is otherwise objectionable at our sole discretion, without notice.

4.2 Prohibited Content

Users may not upload, transmit, or otherwise make available content that:

  • Contains sexually explicit, pornographic, obscene, or offensive material.
  • Depicts or promotes violence, discrimination, or illegal activities.
  • Infringes upon or violates any third-party rights, including intellectual property rights.
  • Contains malware, viruses, or other malicious code.
  • Violates or encourages the violation of any law or regulation.
  • Contains fraudulent, deceptive, or misleading information.
  • Violates anyone's privacy or publicity rights.
  • Would be considered objectionable by a reasonable person.
  • Contains hate speech or discriminatory content based on race, ethnicity, national origin, religion, sex, gender, sexual orientation, disability, or medical condition.

4.3 Reasonable Use Limitations

While ScoreboardMax offers "unlimited use" of our products, such use must remain within the scope of what would be considered reasonable. We retain the sole discretion to determine what constitutes reasonable use. Examples of unreasonable use may include, but are not limited to:

  • Automated or scripted access to the Service that generates excessive traffic.
  • Usage that negatively impacts the performance of the platform for other users.
  • Sharing account credentials with unauthorized third parties.
  • Using the Service for purposes other than those intended.
  • Any activity that places an unreasonable or disproportionately large load on our infrastructure.

4.4 Violation & Termination

If you violate these Terms or if ScoreboardMax determines, in its sole discretion, that your use of the Service is unreasonable or inappropriate, ScoreboardMax may suspend or terminate your account without prior notice. If we decide to deactivate your account due to what we consider to be improper or unacceptable use, your sole remedy is a refund of your most recent month's paid service, if you have a paid subscription. Money paid prior to the past month will not be refundable.

ScoreboardMax reserves the right to determine, in its sole discretion, whether a violation of these Terms has occurred and what actions to take in response.

5. Indemnification

You agree to indemnify, defend, and hold harmless ScoreboardMax, its affiliates, officers, directors, employees, consultants, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from:

  • Your use of the Service, including any content you upload;
  • Your violation of these Terms;
  • Your violation of any rights of any other person or entity, including intellectual property rights, privacy rights, or publicity rights;
  • Your use of the Service in any public or private broadcasts;
  • Any claims or actions brought by third parties arising from your use of the Service.

This indemnification obligation will survive these Terms and your use of the Service.

6. Payment and Refund Policy

6.1 Fees & Billing

Use of ScoreboardMax may require subscription fees. By subscribing, you authorize recurring charges until cancellation. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, which are your responsibility.

We reserve the right to change our prices. If we change pricing, we will provide notice of the change by email to the address registered within the account at least 14 days before the change takes effect. You have the right to refuse the new pricing by canceling your account prior to the date when the new pricing takes effect. Your continued use of the Service after the pricing change takes effect constitutes your agreement to pay the modified subscription fee amount.

6.2 Refund Policy

We offer a 30-day refund policy from the date of initial purchase. Refunds will be processed to the original payment method. No refunds will be issued for partial subscription periods or for periods after the first 30 days of service.

As stated in Section 4.4, if your account is terminated due to violations of these Terms, you may only be eligible for a refund of your most recent month's paid service, at our sole discretion.

7. Intellectual Property

All content, trademarks, service marks, logos, software, designs, and other materials available through the Service are owned by us or our licensors. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms.

You acknowledge and agree that you do not acquire any ownership rights in any ScoreboardMax materials by using the Service. You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have our written permission.

ScoreboardMax respects the intellectual property rights of others and expects users to do the same. If you believe that your intellectual property rights have been violated, please contact us at contact@scoreboardmax.com.

8. Limitation of Liability

The ScoreboardMax service is provided "as-is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law, ScoreboardMax will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service;
  • Any conduct or content of any third party on the Service;
  • Any content obtained from the Service;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • Service interruptions or transmission delays;
  • Errors, inaccuracies, or omissions in the Service or its content.

ScoreboardMax expressly disclaims all liability for any claims, damages, losses, liabilities, costs and expenses of any kind or nature whatsoever. To the fullest extent permitted by applicable law, under no circumstances shall ScoreboardMax be liable for any direct, indirect, special, incidental, consequential or punitive damages arising out of or in any way connected with your use of or inability to use the Service.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.

9. Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved through informal negotiation, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

The arbitration shall be conducted in the county and state in which ScoreboardMax's principal place of business is located. Each party shall be responsible for its own costs and expenses, including attorney's fees.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which ScoreboardMax is registered, without regard to its conflict of law provisions.

You agree to submit to the personal and exclusive jurisdiction of the courts located within the county of ScoreboardMax's principal place of business.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 15 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

13. Assignment

ScoreboardMax reserves the right to assign or transfer these Terms, in whole or in part, without restriction to any party that acquires all or substantially all of ScoreboardMax's assets or business, or to any affiliate or successor entity. You may not assign or transfer any rights or obligations under these Terms without ScoreboardMax's prior written consent, and any attempted assignment or transfer without such consent will be void and without effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and ScoreboardMax regarding your use of the Service and supersede all prior and contemporaneous written or oral agreements between you and ScoreboardMax.
